Billing and Payment Terms

These terms cover NuvoWage subscription billing and clarify that generated payroll payment files do not move or hold employer funds.

1. Free Trial

Trial Access

NuvoWage may provide a free trial for one eligible customer workspace. The trial duration and employee-record limit shown when the trial begins form part of the applicable offer. No credit card is required to start the trial.

Trial Eligibility

Unless otherwise approved by NuvoWage, each customer or organization may receive only one free trial. We may refuse or end duplicate, misleading, or abusive trial registrations.

End of Trial

The trial ends on the date shown in the workspace and does not automatically become a paid subscription. After the trial ends, new employee and payroll changes may be restricted until a subscription is activated. Existing records remain subject to the applicable access, export, and retention terms.

2. Subscription Charges

Plans and Pricing

The current NuvoWage Business monthly and yearly prices, included usage, additional employee rate, and plan limits are shown before registration or purchase. The plan and price confirmed at subscription activation apply until changed under these terms. Prices are in Canadian dollars and applicable taxes are additional.

Employees Paid in a Month

An employee is counted once when included in finalized payroll for a calendar month. Running payroll more frequently, processing an additional payroll, or correcting payroll does not count the same employee more than once for that month. Draft payroll and NuvoWage sample payroll are excluded. Inactive, seasonal, and former employees are not charged in months when they are not paid.

Taxes

Subscription prices may exclude applicable sales taxes. Required taxes are calculated using the billing information available to NuvoWage and will be displayed on the applicable invoice or receipt.

Payment Authorization

By purchasing a paid subscription, you authorize NuvoWage and its payment provider to charge the selected payment method for recurring subscription fees, applicable taxes, and any additional charges that you expressly approve.

Billing Information

You must maintain accurate billing information and an authorized payment method. Payment credentials may be processed and stored by our payment provider according to its terms and privacy practices.

3. Renewal and Plan Changes

Automatic Renewal

The monthly or yearly base subscription renews automatically at the end of its billing period unless cancelled before the renewal date. Additional employee usage is measured and billed monthly with either base subscription. Renewal charges use the plan, billing interval, and price then applicable, subject to any required notice of changes.

Pricing Changes

We may change subscription prices or plan contents. Where required by law or reasonably practicable, we will provide advance notice before a change applies to your next renewal. Continuing the subscription after the effective date constitutes acceptance of the updated price.

Upgrades

A change from monthly to yearly billing normally takes effect at the next monthly renewal unless another effective date is shown before confirmation. Any immediate or prorated charge will be shown before the change is confirmed.

Downgrades

A change from yearly to monthly billing normally takes effect at the yearly renewal unless otherwise stated. A billing-interval change does not delete existing payroll records or change how monthly additional employee usage is measured.

4. Cancellation and Access

Cancelling a Subscription

You may cancel a subscription through the available account or billing settings. Cancellation prevents the next renewal but does not reverse charges already incurred.

End of Paid Access

Unless access is restricted for security, legal, or material breach reasons, paid features generally remain available until the end of the current paid billing period.

Payroll Records

Cancellation does not automatically delete payroll records. Continued access, export availability, retention, and deletion are governed by the applicable subscription plan, Terms of Service, Privacy Policy, and data-retention terms. You are responsible for exporting records required for your legal or business obligations before access ends.

5. Refunds and Failed Payments

Refunds

Except where required by applicable law, expressly stated in an order agreement, or approved by NuvoWage for a billing error, subscription charges for a billing period that has started are non-refundable and are not prorated for unused time.

Duplicate or Incorrect Charges

If you believe that a charge was duplicated or processed incorrectly, contact NuvoWage with the workspace name and invoice reference so that the charge can be investigated.

Failed Payments

If a payment fails, NuvoWage or its payment provider may retry the charge and request an updated payment method. After reasonable notice, we may restrict paid features or suspend the subscription until the outstanding amount is paid.

Payment Disputes

Starting a dispute or chargeback with a payment provider does not by itself cancel the subscription. You should also cancel the subscription through the available billing settings if you do not want it to renew. Nothing in these terms limits dispute or refund rights that cannot legally be restricted.

6. Employee Payments and Government Remittances

Separate from Subscription Billing

NuvoWage subscription charges are separate from employee wages, source deductions, government remittances, and other payroll funds. NuvoWage does not receive, hold, custody, transfer, or settle those funds.

AFT Payment Files

NuvoWage may generate a Payments Canada Standard 005 Automated Funds Transfer file using employer-approved payroll results and banking instructions. Generating or downloading a file does not authorize or release a payment. The employer and its financial institution are responsible for validation, funding, upload, approval, release, rejection handling, and settlement.

CRA Files and Remittances

NuvoWage may generate remittance summaries, T4 files, and related payroll records. Unless the service expressly confirms that a submission has occurred, NuvoWage does not submit a CRA return, initiate a remittance, or confirm that an obligation has been accepted or completed.

Confirmation

The employer is responsible for obtaining and retaining bank, CRA, and other institutional confirmations showing that each payment, remittance, or filing was successfully completed.

Send billing questions to hello@nuvowage.com with the workspace name, invoice reference, and a description of the issue. Do not include employee banking information, Social Insurance Numbers, passwords, authentication codes, or encryption keys in ordinary email.
